BIOFARM S.A. hereby informs its shareholders and investors that, on 20 July 2026, it received from the PLUS INVEST Open-End Investment Fund, through its administrator, S.A.I. Muntenia Invest S.A., a notification of transactions by persons discharging managerial responsibilities and persons closely associated with them, pursuant to Article 19 of Regulation (EU) No. 596/2014 on market abuse and Commission Implementing Regulation (EU) 2016/523.

According to the notification received, the PLUS INVEST Open-End Investment Fund, a person closely associated with Mr Stefan Dumitru, a member of the Board of Directors of BIOFARM S.A., carried out a sale transaction in BIO shares as part of the Voluntary Public Takeover Bid launched by Zakłady Farmaceutyczne Polpharma S.A., at a price of RON 1.3790 per share.
