Reporting significant events: as per Art. 234 of ASF Regulation No. 5/2018: appointment of the Director General under a mandate contract, following the completion of the recruitment and selection procedure in accordance with the provisions of GEO No. 109/2011 on the corporate governance of public enterprises.

CONPET S.A. informs the investing public that, following the conduct and completion of the recruitment and selection procedure for the position of Director General, carried out in accordance with the provisions of GEO No. 109/2011 on the corporate governance of public enterprises, and taking into account the proposals set out in the Nomination and Remuneration Committee (Ro. C.N.R.) Report, to which the Independent Expert’s Report was attached, as well as the discussions held during the BoD meeting, the Board of Directors decided in its meeting dated 02.04.2026 the following:

a) Appointment of Ms. Dumitrache Mihaela-Anamaria as Director General of CONPET S.A., with a mandate starting on 02.04.2026 and ending on 19.10.2027 (inclusive), delegating to her the management of the company, in accordance with the applicable legal provisions, the Articles of Incorporation, and the mandate contract.

b) Approval of the termination of Ms. Mihaela-Anamaria Dumitrache’s mandate contract, in her capacity as Deputy Director General, by mutual agreement of the parties, pursuant to Art. 12, letter d) of Mandate Contract No. 37112/19.10.2023, effective as of 02.04.2026, and approval of the execution of Addendum No. 4/02.04.2026 to that effect, in the form resulting from the discussions held during the BoD meeting.

c) Empowerment of Ms. Dumitrache Mihaela-Anamaria, Director General, to also perform the duties and responsibilities related to the position of Deputy Director General, for the period starting on 02.04.2026 until 31.05.2026.
